These Terms and Conditions (“Terms”) govern access to and use of the Prodos platform (“Service”) operated by Prodos, LLC (“Prodos,” “we,” “us,” or “our”).


By accessing or using the Service, you agree to be bound by these Terms.


1. Company Information

2. The Service


Prodos provides a web-based software platform that enables asset and wealth management firms to automate, analyze, and streamline operational workflows using artificial intelligence and related tools.

The Service may include:


  • Data ingestion and analysis

  • Workflow automation

  • Document processing

  • CRM and system integrations

  • AI-powered assistance

Prodos does not provide legal, financial, tax, or investment advice.

3. Eligibility and Authority


You represent that:


  • You are at least 18 years old

  • You have authority to bind your organization

  • You are using the Service on behalf of a regulated financial firm or authorized entity

If you are using the Service on behalf of an organization, that organization is responsible for compliance with these Terms.

4. Account Registration and Security


You are responsible for:


  • Maintaining accurate account information

  • Safeguarding login credentials

  • All activities under your account

Prodos is not liable for unauthorized access resulting from your failure to secure credentials.

5. Use of Artificial Intelligence

5.1 AI Functionality

The Service utilizes artificial intelligence to perform read, analysis, and automation functions.

Certain write or execution functions may require user approval depending on configuration and permissions.

5.2 Human-in-the-Loop

Where enabled, users may review, approve, or modify outputs before execution. You are responsible for configuring appropriate controls.

5.3 No Reliance


AI-generated outputs:


  • Are probabilistic and may contain errors

  • Are provided for informational and operational support only

  • Should be reviewed before reliance

You acknowledge that you remain solely responsible for decisions, actions, and regulatory compliance.

6. Customer Data

6.1 Data Ownership

You retain all rights to data submitted to the Service (“Customer Data”).

Prodos does not claim ownership of Customer Data.

6.2 Data Processing

You grant Prodos a limited license to process Customer Data solely to provide and improve the Service.

6.3 Data Scope

Prodos is designed to process limited personal data such as names, emails, and phone numbers. You agree not to upload highly sensitive personal information unless expressly authorized.

6.4 Security

Prodos implements commercially reasonable administrative, technical, and organizational safeguards.


However, no system is completely secure, and absolute security is not guaranteed.

7. Privacy


Use of the Service is subject to our Privacy Policy, which is incorporated by reference.

8. Fees and Payment

8.1 Subscription Fees

You agree to pay:


  • Per-user monthly subscription fees

  • Usage-based fees as applicable

All fees are billed in advance unless otherwise agreed.

8.2 Taxes

Fees are exclusive of applicable taxes, which you are responsible for paying.

8.3 Non-Payment

Prodos may suspend or terminate access for non-payment.

9. Refund Policy


You may request a refund within thirty (30) days of payment if the Service is not satisfactory.


Refunds are issued at Prodos’ reasonable discretion and exclude usage-based charges already incurred.

10. Acceptable Use


You agree not to:


  • Use the Service unlawfully

  • Reverse engineer or decompile

  • Scrape or harvest data

  • Interfere with system integrity

  • Use the Service to compete with Prodos

  • Use the Service to train competing models

11. Intellectual Property


Prodos retains all rights to:


  • The Service

  • Software

  • Models

  • Algorithms

  • Documentation

No rights are granted except as expressly stated.

Feedback you provide may be used without restriction.

12. Confidentiality


Each party agrees to protect non-public information obtained through the Service.


This obligation survives termination.

13. Third-Party Services


The Service may integrate with third-party platforms.


Prodos is not responsible for third-party systems, outages, or data practices.

14. Termination


Either party may terminate with thirty (30) days’ notice.


Prodos may terminate immediately for breach, misuse, or legal risk.


Upon termination, access will cease.

15. Disclaimers


THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

PRODOS DISCLAIMS ALL WARRANTIES, INCLUDING:


  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY

Prodos does not warrant uninterrupted or error-free operation.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

PRODOS SHALL NOT BE LIABLE FOR:


  • INDIRECT DAMAGES

  • LOST PROFITS

  • DATA LOSS

  • BUSINESS INTERRUPTION

  • REGULATORY PENALTIES

TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

17. Indemnification

You agree to indemnify and hold harmless Prodos from claims arising from:


  • Your use of the Service

  • Regulatory violations

  • Data provided by you

  • Misuse or misconfiguration

18. Governing Law and Venue


These Terms are governed by the laws of the State of New York.


All disputes shall be resolved in New York courts.

19. Arbitration


At Prodos’ discretion, disputes may be resolved by binding arbitration.

20. Assignment


You may not assign these Terms without consent.


Prodos may assign freely.

21. Changes


Prodos may update these Terms with notice via the Service.


Continued use constitutes acceptance.

22. Entire Agreement


These Terms constitute the entire agreement between you and Prodos.

24. SMS Communications


By providing your mobile phone number and opting in, you consent to receive transactional SMS messages from Prodos related to your account, workflows, document uploads, approvals, authentication, and other operational notifications.


Message frequency varies based on account activity. Message and data rates may apply. You may opt out at any time by replying STOP. For help, reply HELP or contact support@prodos.dev. Consent to receive SMS messages is not a condition of purchasing or using the Service.


Prodos does not sell or share SMS consent with third parties.
